Terms of Service

Effective July 14, 2026. These Terms govern use of the Nuvareq website, accounts, trials, subscriptions, customer portal, and AI phone assistant services.

1. Acceptance and authority

By creating an account, purchasing a subscription, or using Nuvareq, you agree to these Terms and the Privacy Policy. You represent that you are authorized to act for the business associated with the account and to provide the business information, phone-routing instructions, integrations, and caller-handling rules submitted to Nuvareq.

2. The service

Nuvareq provides a configurable AI phone assistant, onboarding and configuration tools, customer and administrative portal functions, provider integrations, usage and billing views, and related support. Capabilities depend on the selected plan, approved configuration, provider availability, credentials, phone setup, consent, and operational readiness. A feature is not active merely because it is described in onboarding or included as an entitlement.

3. Accounts and security

You must provide accurate account information, protect your credentials, and promptly report suspected unauthorized access. You may not share platform-admin credentials or attempt to access another customer's workspace. Nuvareq may require identity or authority verification before changing sensitive account, billing, phone, or provider settings.

4. Plans, usage, trials, and SMS

The current new-customer catalog consists of PAYG, Starter, Growth, and Scale. PAYG has a $0 recurring base, no included minutes, no trial, and a $0.59 per-minute usage rate. Starter, Growth, and Scale are offered at $199, $499, and $999 monthly or $1,799, $4,499, and $8,999 annually. Their included-minute allowances and overage rates are the same at either billing interval. Included minutes reset every month and do not roll over; annual billing never grants a full year of minutes in advance.

Eligible new Starter, Growth, and Scale customers receive one 7-day trial with 50 total minutes. A payment method is required. During trial, SMS, appointment and live booking, advanced routing and workflows, premium integrations, and additional assistants are disabled. The trial does not include overage; service may be blocked when the trial allowance is exhausted. PAYG and existing subscriptions are excluded.

Usage is measured from provider and platform records and associated with the applicable monthly usage cycle. SMS sending after paid activation remains subject to plan entitlement, consent, phone and provider configuration, messaging registration, deliverability, and applicable law. The Stripe checkout summary and any signed order form control if they state terms specific to your purchase.

5. Billing and cancellation

Plans are billed through Stripe using the price, cadence, and usage terms shown at checkout. PAYG has no recurring base fee but authorizes billed usage. Starter, Growth, and Scale require a payment method for trial and automatically begin at the selected monthly or annual price when the 7-day trial ends unless canceled first. Annual subscription fees are billed once per year; included allowances still reset monthly. Applicable overage, tax, carrier, or provider-related charges may apply only as disclosed.

No onboarding fee is currently charged for new public-plan checkout. Historical onboarding fees, invoices, and signed order terms remain unchanged. You can use the Stripe billing portal or contact Nuvareq for supported billing changes. Cancellation prevents future renewal according to the effective Stripe state; fees and usage incurred before cancellation remain due, and cancellation does not create a refund unless required by law or expressly agreed.

6. Onboarding, review, and publishing

You are responsible for complete and accurate onboarding information. Nuvareq may request clarification or changes before approving a configuration. Draft or submitted changes are not live until an authorized Nuvareq administrator publishes the approved revision to the mapped assistant. Activation timing depends on review and provider readiness; purchasing a subscription does not guarantee immediate publishing.

7. Customer content and instructions

You retain responsibility for the business content, policies, prices, services, disclosures, transfer destinations, booking rules, and other instructions you provide. You grant Nuvareq and its service providers permission to process that information as needed to configure and operate the service. You must have authority to provide the information and must not instruct the assistant to make unlawful, deceptive, discriminatory, infringing, or unsupported claims.

8. Calls, recording, messaging, and consent

You are responsible for determining and configuring legally required notices and consent for call recording, monitoring, data collection, and SMS in the jurisdictions where you operate and where callers are located. You must honor opt-out, do-not-call, quiet-hours, and other applicable requirements. Nuvareq controls do not replace your legal obligations.

9. AI and emergency limitations

AI-generated speech can misunderstand a caller, produce an incomplete response, or fail because of provider, network, or configuration conditions. You must define fallback and escalation paths appropriate to your business and review the service's operation. Do not use Nuvareq as emergency dispatch or as a substitute for legal, medical, financial, safety-critical, or other licensed professional judgment.

10. Third-party services

Nuvareq relies on third-party services such as Stripe, hosting and database providers, voice and AI providers, telecommunications providers, and customer-selected integrations. Their availability, acceptable-use rules, and technical limits can affect the service. Nuvareq may pause a provider-dependent feature when required credentials, verification, consent, or operational safeguards are missing.

11. Acceptable use

You may not use Nuvareq to violate law; facilitate fraud, harassment, impersonation, spam, or abuse; collect information without an appropriate basis; evade consent or provider rules; interfere with the platform; probe another tenant; expose credentials; or use the service for prohibited emergency or regulated advice workflows. Nuvareq may suspend access when reasonably necessary to protect callers, customers, providers, or the platform.

12. Availability and changes

We work to operate the service reliably, but uninterrupted or error-free availability is not guaranteed. We may update features, providers, security controls, or these Terms as the product evolves. We will post an updated effective date, and material changes may be communicated through the service when appropriate. Approved subscription price changes will not be silently applied to an existing billing contract.
